Integrity Management Terms
In order to safeguard the common interests of the parties and ensure the integrity of the transaction, we agree and guarantee the following:
Neither party nor any of its members (including but not limited to directors, managers, employees, assignees or persons with substantial control, hereinafter referred to as “affiliated employees”) shall in no way directly or indirectly request, contract, accept or give any tangible or intangible improper benefits (including but not limited to bribes, commissions, kickbacks, gifts, etc.) to the other party’s employees or related vendors (including but not limited to third parties involved in the transaction between the two parties).
If either party learns that its employees or related vendors (including but not limited to third parties related to matters between the two parties) are involved in the above-mentioned improper interests, it shall immediately take the initiative to inform the other party in writing or orally. If any party in this transaction is involved in any of the above-mentioned improper interests, the other party has the right to terminate this contract and other contracts or transactions unconditionally at any time.
